Welcome to Lingello. These Terms of Use (“Terms”) govern your access to and use of the website located at https://lingello.com (the “Site”) and the lesson-plan platform, materials and subscription services available through it (together, the “Service”).
The Service is operated by:
Bright Future Academy Spółka z ograniczoną odpowiedzialnością ul. Złota 75A/7, 00-819 Warszawa, Poland NIP (Tax ID): 5322089221 KRS: 0000852975 · District Court for the Capital City of Warsaw · Share capital: 5,000 PLN Email: info@lingello.com
(referred to as “Lingello”, “we”, “us” or “our”).
By creating an account, purchasing a subscription or otherwise using the Service, you confirm that you have read, understood and accepted these Terms. If you do not agree with these Terms, please do not use the Service.
1. Definitions
- “Materials” — all lesson plans, worksheets, teacher notes, answer keys, audio, video, images, texts and any other content made available through the Service.
- “Subscription” — a paid plan (billed monthly or annually) giving access to Materials as described on the Site at the time of purchase.
- “Free Plan” — the free tier of the Service giving access to a limited selection of Materials.
- “Consumer” — a natural person acting for purposes outside their trade, business, craft or profession. In some jurisdictions (including Poland), certain sole traders purchasing outside the professional character of their activity enjoy the same protections as Consumers, and these Terms apply to them accordingly.
- “You” — the person or entity using the Service.
2. What Lingello is
Lingello provides premium, ready-to-use English lesson plans for English teachers — freelancers, schools and corporate trainers. The Materials are professional teaching resources; they are supplied as digital content (not on a tangible medium), primarily as downloadable PDF files and online resources.
3. Account registration
To access Materials you need an account. You agree to:
- provide accurate, current and complete information during registration and keep it up to date;
- keep your login credentials confidential and not share your account with anyone else;
- notify us promptly at info@lingello.com if you suspect unauthorised use of your account.
You are responsible for all activity that occurs under your account. Accounts are personal and non-transferable. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
We may suspend or terminate accounts that are used in breach of these Terms (see section 12).
4. Plans, prices and payment
4.1 Plans. The Service is offered on a Free Plan and one or more paid Subscription plans. The current scope and features of each plan, and current prices, are displayed on the Site. Prices shown at checkout are binding for that purchase.
4.2 Payment. Payments are processed by our payment provider, Stripe. We do not store your full card details. By purchasing, you authorise Stripe to charge the payment method you provide.
4.3 Taxes. Prices may be shown exclusive or inclusive of VAT/sales tax depending on your location; the final amount, including any applicable taxes, is displayed at checkout before you confirm the purchase.
4.4 Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, unless you cancel before the renewal date. We will inform you of any price change before it applies to you; if you do not accept a price change, you may cancel before it takes effect.
4.5 Cancellation. You can cancel your Subscription at any time in your account settings. Cancellation takes effect at the end of the current billing period: you keep access until that date, and you will not be charged again. Amounts already paid for the current period are not refunded (see section 6).
5. Right of withdrawal (EU/EEA and UK consumers)
5.1 If you are a Consumer in the EU/EEA or UK, you normally have the right to withdraw from a distance contract within 14 days without giving a reason.
5.2 However, under Article 16(m) of Directive 2011/83/EU (and equivalent national laws, including Article 38(1)(13) of the Polish Consumer Rights Act), the right of withdrawal does not apply to contracts for the supply of digital content not supplied on a tangible medium, where performance has begun with your prior express consent and your acknowledgement that you thereby lose your right of withdrawal.
5.3 During checkout, you will be asked to expressly consent to immediate access to the Materials and to acknowledge that, once access is granted, you lose your 14-day right of withdrawal. Access to the Service is granted immediately after payment. This means that, once your purchase is complete and access has been granted, the purchase is final and non-refundable.
5.4 If you do not give this consent, we cannot grant you immediate access, and your access would begin only after the 14-day withdrawal period has expired.
6. Refund policy
6.1 Because the Service consists of digital content and intellectual property that is delivered immediately and cannot be “returned”, all purchases are final and non-refundable, subject to sections 5 and 6.2.
6.2 Your statutory rights are not affected. Nothing in these Terms limits your statutory rights as a Consumer, including your rights under the EU Digital Content Directive (2019/770) and its national implementations if the digital content does not conform with the contract (for example, if it is defective or inaccessible). In such cases you may be entitled to have the content brought into conformity, to a price reduction, or to terminate the contract, as provided by applicable law. If you experience any problem with the Service, contact us at info@lingello.com and we will work to resolve it.
6.3 Cancelling a Subscription stops future charges but does not entitle you to a refund of amounts already paid, including for the unused part of the current billing period.
7. Licence to use the Materials
7.1 What you may do. Upon purchasing a Subscription (or using the Free Plan), we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to:
- download, store and print the Materials available under your plan;
- use the Materials to prepare and deliver lessons to your own students, whether in person or online, including sharing individual worksheets with the students you personally teach as part of a lesson;
- adapt Materials for use in your own lessons (e.g. shortening a worksheet), provided copyright notices remain intact.
7.2 What you may not do. You may not:
- share, resell, redistribute, publish, or make Materials available to anyone other than your own students in the course of teaching them — this includes sharing files or login credentials with other teachers, uploading Materials to shared drives, teacher groups, marketplaces or other websites;
- use the Materials to create competing products or derivative materials for distribution;
- remove or alter any copyright, trademark or proprietary notices;
- use the Materials for any commercial purpose other than teaching your own students.
7.3 Schools and organisations. A Subscription covers one teacher. Schools, language academies and companies may use the Service, but must purchase a subscription (or a seat under a multi-user arrangement) for each teacher who uses the Materials. For team and institutional licences, contact us at info@lingello.com.
7.4 Duration. The licence lasts as long as your plan is active. Materials you have lawfully downloaded and printed during your Subscription may continue to be used with your own students after it ends, but your right to access, download and receive new Materials ends with the Subscription. If you materially breach this licence, we may terminate it (and your account) with immediate effect.
8. Intellectual property
All content on the Site and in the Service — including the Materials, the Lingello name and logo, the design of the Site and all lesson-plan layouts — is the exclusive property of Bright Future Academy sp. z o.o. or its licensors and is protected by copyright, trademark and other intellectual property laws worldwide. Except for the licence expressly granted in section 7, no rights are transferred to you.
9. Acceptable use
When using the Service, you agree not to:
- violate any applicable law or regulation;
- attempt to gain unauthorised access to the Service, other users’ accounts, or our systems;
- scrape, crawl, mass-download or systematically extract content from the Service, whether manually or by automated means (including for training machine-learning models);
- transmit malware or other harmful code, or take any action that disrupts or interferes with the proper functioning of the Service;
- misrepresent your identity or affiliation.
We may investigate breaches of this section and take appropriate action, including suspending or terminating access and, where necessary, cooperating with law enforcement.
10. Availability and changes to the Service
We work hard to keep the Service available and to add new Materials regularly, but we do not guarantee uninterrupted availability. We may update, modify or discontinue features of the Service, and add, replace or retire individual Materials, at any time. Where a change would materially reduce what active subscribers have paid for, we will inform subscribers in advance and they may cancel before the change takes effect.
11. Disclaimers and liability
11.1 The Materials are professional teaching resources provided for educational use. We make reasonable efforts to ensure their quality and accuracy, but we do not warrant that they are error-free or suitable for every teaching context; you remain responsible for how you use them with your students.
11.2 To the extent permitted by law, and except as set out in section 11.3, we are not liable for: indirect or consequential losses; loss of profits, revenue or business; or losses arising from events outside our reasonable control (including failures of your internet connection or devices). For users acting in the course of business, our total liability arising out of or in connection with the Service in any 12-month period is limited to the amount you paid us in that period.
11.3 Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; wilful misconduct or gross negligence; or any liability that cannot be excluded or limited under applicable law. If you are a Consumer, nothing in these Terms limits your mandatory statutory rights.
12. Termination
12.1 By you. You may stop using the Service and delete your account at any time. Deleting your account does not entitle you to a refund (section 6).
12.2 By us. We may suspend or terminate your account, with immediate effect, if you materially breach these Terms — in particular the licence terms in section 7 (e.g. sharing or reselling Materials, credential sharing) or the acceptable-use rules in section 9. Where the breach is capable of remedy and does not involve intentional infringement, we will normally warn you and give you an opportunity to remedy it first. In the event of termination for material breach, no refund is due.
13. Changes to these Terms
We may amend these Terms for valid reasons, such as changes in law, changes to the Service, or security requirements. We will publish the updated Terms on the Site and, for material changes affecting active subscribers, notify you by email at least 14 days before they take effect. If you do not accept the amended Terms, you may cancel your Subscription before the changes take effect; continued use after the effective date constitutes acceptance.
14. Governing law and disputes
14.1 These Terms are governed by the laws of Poland. If you are a Consumer, you additionally benefit from any mandatory consumer-protection provisions of the law of the country where you habitually reside, and nothing in this section deprives you of that protection.
14.2 We encourage you to contact us first at info@lingello.com with any complaint — most issues can be resolved quickly and amicably. We will respond to complaints within 14 days.
14.3 Consumers in the EU may also have access to out-of-court dispute-resolution (ADR) bodies in their country of residence. In Poland, these include the Trade Inspection (Inspekcja Handlowa) and municipal/district consumer ombudsmen.
14.4 For users who are not Consumers, the courts having jurisdiction over our registered office in Warsaw, Poland, will have exclusive jurisdiction.
15. Miscellaneous
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
- Our failure to enforce any provision is not a waiver of it.
- You may not assign your rights under these Terms without our consent; we may assign our rights and obligations to a successor of our business, without affecting your rights.
- These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
